Terms & Conditions

These Terms & Conditions ("Terms") govern your use of Clipwell. By using the service, you agree to these Terms.

1. Operator

Clipwell is operated by Jianren Wen (sole proprietor), part of OrangeLab ("we", "us"). Contact: [email protected] for legal and privacy matters, or [email protected] for general product support.

2. Service description

Clipwell converts social-media videos and posts you submit (from platforms such as YouTube, TikTok, 小红书, Bilibili and 抖音) into structured notes — with transcripts, key points, timestamps and tags — and writes them to your own connected Notion workspace.

3. Accounts

You are responsible for the accuracy of your account information and for keeping your credentials secure. You must be at least 13 years old to use Clipwell.

4. Acceptable use

• You may only process content that you own or are otherwise authorized to use.
• You must not use Clipwell to infringe copyright or other rights, or to circumvent a platform's access controls or terms.
• You must not resell or represent Clipwell's output as your own original content in a misleading way.
• You must not abuse usage quotas or attempt to disrupt or reverse-engineer the service.
• Clipwell does not provide, and you may not attempt to use it for, deepfakes, voice cloning, or generation of the likeness of real people.

5. Subscriptions & billing

Payments are processed by Paddle, which acts as the Merchant of Record and seller of record for your purchase. Subscriptions renew automatically until cancelled. You may cancel at any time; cancellation takes effect at the end of your current billing period. We will give advance notice of any price changes. High-quality booster packs are one-time purchases and do not expire.

6. Fair use

The unlimited standard-quality tier is subject to fair use to prevent scripted or automated abuse. If your usage substantially exceeds normal individual use, we may rate-limit processing and will reach out to you.

7. Intellectual property

The notes you create are yours. The Clipwell service, software and brand remain the property of the operator.

8. Disclaimer

The service is provided "as is" and "as available". AI-generated notes may contain errors or omissions; you are responsible for verifying them before relying on them. We do not warrant that the service will be uninterrupted or error-free.

9. Limitation of liability

To the maximum extent permitted by law, the operator will not be liable for any indirect, incidental, or consequential damages, or for any loss of data or profits, arising from your use of the service. Our total liability is limited to the amount you paid for the service in the 12 months preceding the claim.

10. Termination

You may stop using Clipwell and delete your account at any time. We may suspend or terminate access for violations of these Terms.

11. Account deletion

You may delete your account at any time, from within Clipwell or by emailing us. The following conditions apply to account deletion:

• Deletion is permanent and cannot be undone. Once deleted, your account cannot be recovered. Your identity and entitlement records are removed when you delete, and the product-side data attributed to your account is cleared within 24 hours, with the two exceptions stated in the retention table in our Privacy Policy (usage-log lines are kept but anonymised, and the stored Notion access token is removed on request rather than automatically). Data stored locally on your own device is not affected by account deletion and must be removed by you.
• Any remaining credits or quota are forfeited on deletion and are not refunded.
• Your Paddle subscription is not cancelled automatically when you delete your account. You must cancel it yourself in Paddle's subscription-management settings; otherwise billing will continue.

12. Governing law

These Terms are governed by the laws applicable at the operator's principal place of business. Nothing in these Terms limits any mandatory consumer-protection rights you may have under the laws of your country of residence.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the effective date above and, where appropriate, by notifying you.
